Contents

This course will be conducted with the support of Mag. Markus Kainz, CEO and Founder of primeCROWD.

The course is targeted atanyone that wants to get deeper knowledge in the aquisition of potentialinvestors, and wants to learn how to contact investors and C-Lvl people onevents.

We will start by discussing how to provide the right documents and the right information, and then go deeper into questions like: „How should a letter of intent and termsheet look like?“ and „Howdoes a shareholder agreement look like and what are the crucial terms that needbe discussed with experienced investors?“

In this class, participants will get anunderstanding of:

a) When does it makesense to take a investor in board?

b) What are thedifferent possibilities to raise capital?

c) How do i preparean investmentprocess?

d) What is an LOI anda Termsheet – how do they look like?

e) How do thecontracts look like and what do you need to know out of a Startup-perspectivevs. An Investors-perspective?

Learning outcomes

After completing this class, students will have theability to:

  • Start and organize an investment process
  • Create the right documents for theinvestmentprocess especially: Pitchdeck, LOI and Termsheet
  • Convince investors fromtheir idea on certain events and in a private talk
Teaching/learning method(s)

The course will combine variouslearning methods to deliver the different topics to the students. These willinclude theory input, open class discussions, interactive team work, andstudents' presentations.
Assessment

25 % Individual in-class exercises (individualassessment)

25 % Group in-class exercises (groupassessment)

50 % Participation in class(individual assessment
