The course will deal with the process of an M&A transaction. In addition to presenting structuring variants, the main focus of the course will be the preparation and practical negotiation of company sales contracts. Sound knowledge of contract and company law is necessary to be able to follow the course.

Learning outcomes

After successfully completing the course, the students will be able to recognize the essential contractual and corporate legal problems of a company purchase and will be able to offer solutions. Students also get an insight into the economic interests of sellers and buyers, as well as the possibilities for the contractual representation of these interests.

Teaching/learning method(s)

The students have to be prepared in every unit. In the units, on the one hand, questions will be theoretically discussed and, on the other hand, will be negotiated as a simulated M&A transaction.

Assessment

The grade is composed of participation in the theoretical discussion of the material (30%), active participation in the negotiation simulation (30%) and a final exam (40%).
