The purpose of this course is to introduce students early on to those key aspects of the legal Framework that will be most relevant for their studies in business and economics.
This will include how to organize the legal structure of a business (e.g. choice of legal form) and its governance system (e.g. legal decision making power, legal responsibiolities). Additionally, the legal context of financing a business will be explained (debt vs equity financing, capital markets).
Further, students will be made familiar with the legal framework of international business activities, e.g. how to gain access to foreign markets through economic freedom (as established by the European Union and international agreements) or how to obtain legal protection against violations of economic fundamental rights.      
All contents will be primarily based on relevant European and international legal standards and concepts of, where useful, on a comparison of national legal systems.

Diese Lehrveranstaltung soll die Studierenden frühzeitig in jene zentralen Aspekte des rechtlichen Rahmens einführen, die für ihr Studium der Betriebs- und Volkswirtschaft am wichtigsten sein werden. Dies umfasst die Organisation der rechtlichen Strukturen eines Unternehmens (zB Wahl der Rechtsform) und seiner Führungsstruktur (zB rechtliche Verantwortung). Zudem wird der Rechtsrahmen der Unternehmensfinanzierung dargestellt (Fremd- vs. Eigenkapitalfinanzierung, Kapitalmärkte).
Des Weiteren werden die Studierenden mit dem rechtlichen Rahmen internationaler wirtschaftlicher Aktivitäten vertraut gemacht, etwa der Frage des Zugangs zu Auslandsmärkten auf der Grundlage wirtschaftlicher Freiheiten (wie den durch EU-Recht und internationale Abkommen geschaffenen Rechten) und des Schutzes wirtschaftlicher Grundrechte. Alle Inhalte basieren primär auf europäischen und internationalen Rechtsgrundlagen und Konzepten bzw, soweit zweckmäßig, auf einem Vergleich nationaler Rechtssysteme.

• understand basic company law issues concerning the treatment of creditors, managing the business and membership in the company
• understand the different methods of financing an business and legal instruments by which to achieve external growth
• understand the process of European integration and to autonomously assess current and future developments
• understand current and future developments in globalization and international investment regimes

• grundlegende gesellschaftsrechtliche Problemstellungen zu verstehen, soweit sie die Behandlung der Gläubiger, die Führung des Unternehmens und die Mitgliedschaft in der Gesellschaft betreffen;
• verstehen, welche Möglichkeiten der Finanzierung der Unternehmenstätigkeit bestehen und mit welchen rechtlichen Instrumenten externes Wachstum erreicht werden kann;
• den Prozess der europäischen Integration zu verstehen und gegenwärtige und künftige Entwicklungen eigenständig zu beurteilen
• gegenwärtige und künftige Entwicklungen in der Globalisierung und im internationalen Investitionsschutzregime, zu verstehen

Attendance: While students are allowed to miss four entire classes, successful passing of the course is not possible in case of absence going beyond that. Students who miss the first class without prior notification to the course convenors will be deregistered from the course.

This course combines the approach of a traditional lecture with interactive elements such as case studies, aiming at a thorough comprehension of the topics of the course relevant for the exams and practice.

Assessment is based on three exams: a short test after two units (counting towards 10 % of the overall grade), an intermediate exam covering the contents of the first half of the course (45 %) and a final exam covering the contents of the second half of the course (45 %).

Die Beurteilung basiert auf drei Prüfungen: einem kurzen Test nach zwei Einheiten (10 % der Gesamtnote), einer Zwischenprüfung über die Inhalte der ersten LV-Hälfte (45 %) und einer Abschlussprüfung über die zweite LV-Hälfte (45 %).
