The course will be held in presence, taking into account all necessary security measures.
The course will deal with the structure and process of an M&A transaction. In addition to presenting different ways of structuring an M&A transaction, the main focus of the course will be the preparation and practical negotiation of a share purchase agreements. Good knowledge of contract and company law is necessary to be able to follow the course, since the course builds and expands on basic knowledge in those areas.
After successfully having completed the course, the students will be able to recognise the essential contract and corporate law issues in a business purchase and will be able to offer solutions. Students also get an overview of the economic interests of sellers and buyers, as well as how to represent those interests in a contract.
The students have to attend all four lessons in order to successfully complete the course.
The students have to prepare for every unit. In the units, on the one hand, questions will be discussed in theory and, on the other hand, different issues will be negotiated in a simulated M&A transaction.
The grade is made up of participation in the theoretical discussion of the material (30%), active participation in the negotiation simulation (30%) and a final exam (40%).
